现在越来越关注公司治理，发现注册在Cayman的公司，当他的股东还是有点问题。
第一，注册在Cayman的公司，股东是没法查询股东名册的。而其他注册地公司的股东一般是有这个权利的。
（1）我们看一下PDD招股书里是怎么说的：
第62页——“无法查阅公司资料、无法获取股东名册；没有义务公开”
“Shareholders of Cayman Islands exempted companies like us have no general rights under Cayman Islands law to inspect corporate records or to obtain copies of lists of shareholders of these companies. Our directors have discretion under our articles of association that will become effective immediately prior to completion of this offering to determine whether or not, and under what conditions, our corporate records may be inspected by our shareholders, but are not obliged to make them available to our shareholders. This may make it more difficult for you to obtain the information needed to establish any facts necessary for a shareholder motion or to solicit proxies from other shareholders in connection with a proxy contest.”
（2）我们以农夫山泉的公司章程举例看看是怎么说的：
第9页——“股东有权查阅股东名册、董事会决议等”
第二，开曼公司没有义务开股东大会。
看一下PDD是怎么说的——“可以，但没义务召开”
“As a Cayman Islands exempted company, we are not obliged by the Companies Act to call shareholders’ annual general meetings. Our articles of association provide that we may (but are not obliged to) in each year hold a general meeting as our annual general meeting in which case we shall specify the meeting as such in the notices calling it, and the annual general meeting shall be held at such time and place as may be determined by our directors.”
所以，结果就是PDD上市以来除了2023年年初开过一次，其他年份完全没开过，股东更是没渠道接触管理层。
反观美股、A股，股东大会已经慢慢成为文化，越办越好。港股也是要求召开股东大会的。这里最差的要属这些cayman公司。
