A. Major Shareholders
Based on our Register of Members, as of December 31, 2012, Devon Dragon Trading Limited held 3,840,691 of our ADSs, or approximately 5.6% of our outstanding shares. Devon Dragon Trading Limited does not have voting rights that are different from the voting rights of our other shareholders.
As of March 31, 2013, 410,597,976 of our ordinary shares were issued and outstanding. JPMorgan Chase Bank, N.A., the depositary, has advised us that, as of March 31, 2013, 42,279,303 ADSs, representing 253,675,818 underlying ordinary shares, were held of record by DTC, under the nominee name of Cede & Co., on behalf of DTC participants. To our knowledge, as of March 31, 2013, approximately 66.1% of our total outstanding ordinary shares (excluding 125,313,030 ordinary shares represented by 20,885,505 ADSs repurchased by us on the open market that have not yet been cancelled) were held by over 3,000 record holders in the United States, including approximately 61.7% of our total outstanding ordinary shares in the form of ADSs held of record by DTC and the number of beneficial owners of our ADS in the United States may be larger than the number of record holders of our ordinary shares in the United States.
